Jeremy Ben-David is an experienced real estate and corporate transactional attorney, and has represented companies of all sizes, ranging from start-ups to large multi-national companies, along with their officers and directors, through all aspects of a business’ life cycle, starting with formation, through growth, and ending in liquidity events and exits.
As one of the founding partners of AXS LAW, Jeremy adds immense value to our firm and our clients by bringing his “Big Law” experience from Bilzin Sumberg Baena Price & Axelrod, LLP, in Miami, FL, and his in-house experience as Corporate Counsel at Bayview Asset Management, a national fully-integrated mortgage investment company, also located in Miami, Florida. Not only is Jeremy a seasoned attorney, but Jeremy also has substantial real-life business experience as well.
Jeremy’s real estate practice includes representing buyers and sellers in all aspects of a wide breadth of real estate purchase and sale transactions, and landlord and tenants in commercial real estate leasing. He has experience in the preparation and negotiation of complex real estate agreements, including commercial leases and subleases, purchase and sale agreements, and loan documents. Jeremy’s real estate knowledge also encompasses distressed real estate and workouts. While in the real estate practice group at Bilzin Sumberg, he represented a national special servicer in connection with the sale of several hundred CMBS loans and REO property totaling over $700 million.
Jeremy’s corporate practice includes business formation; corporate governance and resolutions; mergers and acquisitions; securities offerings; legal due diligence; and drafting a broad array of business documents and contracts, including but not limited to operating agreements, confidentiality agreements, joint venture agreements, license agreements, and employment compensation and severance agreements. Jeremy’s corporate practice also incudes providing outside general counsel services, which include advising clients on compliance-related matters; relationship management; and day-to-day operational, management, and human resources issues that arise.
Because Jeremy has such a keen business acumen, he is also skilled at working closely and collaboratively with client’s business departments (i.e. legal, supply chain, marketing, finance, and human resources) to facilitate and effectively finalize contracts and other commercial matters that arise throughout a business’s life cycle. Jeremy’s clients encompass diverse industries, including media, real estate, hospitality, alternative financing, commercial equipment, retail, and fashion.
Jeremy is also an experienced real estate deal-maker. During his tenure as Acquisitions Manager at Alterra Capital Group, he was responsible for sourcing, underwriting, and repositioning undervalued and distressed multifamily properties throughout the Southeast and was a critical part in the acquisition of $150 million in assets. Jeremy also led the growth, development, and sale of a vacation rental home company in 2015.
In addition to his professional experience, Jeremy is an active member in the professional community and in volunteer organizations. He is a member of The Florida Bar Real Property, Probate & Trust Law Section, is a Network Board Member of the Greater Miami Jewish Federation, and is a committee chair for Jewish Volunteer Services. Jeremy also volunteers with Habitat for Humanity. In 2012 Jeremy became a Starting Bloc Fellow; international fellowship program comprised of 1900 Fellows across 55 countries, whose mission is to drive social innovation across sectors.
Jeremy graduated with honors from the University of Michigan in 2001. He received his Juris Doctor from the University of Miami School of Law in 2006, where he graduated cum laude. He is admitted to practice law in the State of Florida.
