Biography

Allen is an American and naturalized Brazilian attorney with over 25 years of experience in major U.S. law firms in New York and Miami, working with clients not only in Brazil, but also in other countries across Latin America and the Caribbean.

Allen has focused on managing cross-border financing and corporate transactions, including high-yield, Euro- and sovereign-bond issuances, structured finance transactions (including future-flow receivables and pre-export transactions) and all types of lending transactions. He also has substantial experience providing advice on private equity transactions as well as mergers and acquisitions, particularly those involving distressed Latin American assets.

Allen has represented foreign governments, major banks, and industrial leaders in complex matters spanning a career with highlights that include:

  • Representing the Government of Belize in sovereign bond transactions
  • Representing a major multilateral development bank in the first-ever Dollar-denominated financing backed by Brazilian Real-denominated real estate receivables
  • Advising underwriters and issuers concerning cross-border bond issuances
  • Representing the purchasers and borrowers in an acquisition loan financing involving security located in sixteen separate Caribbean jurisdictions
  • Structuring and negotiating export receivables securitizations involving the Brazilian steel industry
  • Advising the sureties in connection with the ticket sales securitizations of major Latin American airlines

Allen is registered with the Brazilian OAB – SP (the largest division of the Brazilian Bar Association) as a foreign legal advisor. He is fluent in Portuguese and German, as well as proficient in Spanish. Allen’s pro bono commitment includes his deep involvement in the drafting of agreements for the Miami Center for Mental Health and Recovery since 2022.
